EQkey Terms of Use

These Terms of Use ("Terms") are an agreement between you and Surgelit LLC ("Surgelit," "we," "us," or "our") governing the EQkey app, EQkey keyboard extension and related services (collectively, "EQkey").

By installing or using EQkey, you agree to these Terms. If you do not agree, do not use EQkey.

1. Eligibility

You must be at least 18 years old and legally able to enter into this agreement. EQkey is not intended for children or minors.

If you use EQkey for an organization, you represent that you have authority to bind that organization to these Terms.

2. What EQkey does

EQkey is a third-party keyboard and AI writing tool. It can suggest replies to text you choose to provide, rewrite a draft, and generate conversation openers using the persona, relationship and tone settings you select.

Suggestions are drafts. EQkey does not send a message on your behalf. You decide whether to use, edit or send a suggestion and remain responsible for your communications.

The keyboard provides ordinary input functions even when network-based AI features are unavailable. On iOS, AI features require Allow Full Access because Apple does not permit a third-party keyboard to use the network without that setting.

3. Guest sessions and accounts

You can start with a device-based guest session. Optional Google or Apple sign-in may be available depending on your platform. Phone and Facebook sign-in are not offered in the current U.S. production build. You are responsible for the security of your device and account and for all activity under your session.

You may sign out or permanently delete a signed-in account from Settings > Account > Delete account. The deletion entry remains available even if profile loading fails. Deletion cannot be undone. Section 8 describes the separate rule that would apply to a future paid version.

Information received through an identity provider is also subject to that provider's terms and privacy notice.

4. License and acceptable use

Your rights in open-source software and third-party materials distributed with EQkey are governed by their applicable licenses and notices. Nothing in these Terms restricts rights granted under those licenses. For Surgelit's proprietary hosted services, branding and materials that are not subject to a separate license, Surgelit grants you a limited, personal, non-exclusive, non-transferable, revocable license to use them solely for lawful purposes.

You may not use EQkey to:

• violate law or another person's rights;
• harass, threaten, stalk, defraud, deceive or impersonate another person;
• create or distribute child sexual abuse material, sexual content involving minors, or non-consensual intimate content;
• facilitate self-harm, violence, illegal activity, scams, credential theft or malicious code;
• infringe privacy, publicity, copyright, trademark or other rights;
• make automated or excessive requests, bypass usage limits, interfere with security, or disrupt the service;
• gain unauthorized access to, extract non-public data from, or reverse engineer our server-side services or hosted model weights, except as permitted by applicable law; this restriction does not apply to open-source software or third-party materials where an applicable license grants broader rights;
• resell or provide unauthorized access to our hosted service or model capacity;
• use EQkey to make decisions that legally or significantly affect another person without appropriate human review.

We may limit or suspend access when reasonably necessary to protect users, the service or third parties, or when these Terms are violated.

5. AI-generated suggestions

AI-generated text can be inaccurate, biased, offensive, repetitive, inappropriate or unsuitable for a particular conversation. It is not professional, legal, medical, financial or mental-health advice.

You must review a suggestion before using it. You are solely responsible for messages you choose to send and for obtaining any permission required to submit another person's text to EQkey.

You may report inappropriate AI content at Settings > Support > Report keyboard content. We may use reports to investigate abuse and improve safety controls.

6. Your content

You retain your rights in text and other content you submit. You grant Surgelit a limited, worldwide license to host, reproduce, transmit and process that content only as needed to operate, secure and improve the requested service, enforce these Terms and comply with law.

As between you and Surgelit, you may use AI suggestions for lawful purposes. Similar suggestions may be generated for other users, and we do not guarantee that a suggestion is unique or eligible for copyright protection.

You represent that you have the rights and permissions needed to submit content to EQkey.

7. Free use

EQkey may provide a limited number of AI requests without charge. Limits can vary by version, region, service capacity or abuse-prevention needs. Ordinary keyboard input does not require a subscription.

We may change reasonable free-use limits, provided we do not charge you without your express purchase confirmation through the applicable app store.

8. Current free version and future paid versions

The current version is free and does not offer in-app purchases or subscriptions.

A future paid version would require updated Terms presented before sale. Those Terms must identify the actual product, duration, localized price, concrete verified benefits, renewal, cancellation, refund and restore behavior. No "Unlimited" benefit, comparison price or offer may be stated unless the released service and applicable storefront record support it. Deleting EQkey or an EQkey account would not by itself cancel a future store subscription; the user would also need to manage it in the applicable store.

9. Privacy

Our EQkey Privacy Policy explains what information EQkey processes, when AI text leaves your device, our service providers, retention and deletion choices. It forms part of these Terms.

10. Ownership

EQkey branding, proprietary designs, graphics and proprietary service content are owned by Surgelit or its licensors and are protected by intellectual property laws. Open-source software and third-party materials remain owned by their respective rights holders and are governed by their applicable licenses and notices. These Terms do not replace those licenses or remove rights they grant to you.

Feedback you choose to send may be used without restriction or compensation, provided we handle personal information according to the Privacy Policy.

11. Service changes and availability

We may update, add, remove or discontinue features and may perform maintenance. AI and network features can be unavailable, delayed or rate-limited. We do not promise uninterrupted or error-free service.

If a paid feature is materially discontinued, any remedy will be provided as required by the applicable store rules and law.

12. Disclaimer

To the maximum extent permitted by law, EQkey is provided "as is" and "as available." Surgelit disclaims implied warranties, including merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted availability.

We do not guarantee that suggestions will achieve a social, romantic, professional or other outcome. Nothing in this section excludes warranties that cannot legally be excluded.

13. Limitation of liability

To the maximum extent permitted by law, Surgelit and its members, employees and service providers will not be liable for indirect, incidental, special, consequential or punitive damages, loss of data, loss of profits, relationship harm, reputational harm or messages you choose to send.

To the maximum extent permitted by law, our total liability arising from EQkey will not exceed the greater of the amount you paid for EQkey during the 12 months before the claim or USD 50.

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. These Terms do not limit liability that cannot legally be limited, including liability for fraud or willful misconduct.

14. Indemnity

To the extent permitted by law, you agree to defend and indemnify Surgelit against third-party claims arising from your unlawful use of EQkey, content you submit, messages you send, or your violation of these Terms or another person's rights.

15. Termination

You may stop using EQkey at any time. We may suspend or terminate access if you materially violate these Terms, create risk or legal exposure, or misuse the service. Where appropriate, we will provide notice and an opportunity to appeal.

Sections that by their nature should survive termination, including ownership, disclaimers, liability, disputes and accrued payment obligations, will survive.

16. Apple-specific terms

These Terms are between you and Surgelit, not Apple. Apple has no obligation to provide maintenance or support for EQkey. To the extent any warranty cannot be disclaimed, Apple may refund the purchase price, if any, and has no other warranty obligation to the maximum extent permitted by law.

Surgelit, not Apple, is responsible for addressing claims relating to EQkey, including product liability, legal or regulatory compliance, and intellectual property claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them after your acceptance.

You represent that you are not located in a country subject to a United States Government embargo and are not listed on a United States Government restricted-party list.

17. Google Play-specific terms

If you download EQkey from Google Play, Google is not responsible for providing support for EQkey. Your use of Google Play is also governed by the Google Play Terms of Service. Google Play billing, cancellation and refund rules apply to purchases made through Google Play.

18. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Subject to mandatory consumer law, disputes will be brought in the state or federal courts serving Sheridan County, Wyoming.

If you are a consumer, this choice does not remove mandatory protections or dispute rights provided by the law of your country of residence.

Before filing a claim, please contact [email protected] so we can try to resolve it informally.

19. Changes to these Terms

We may update these Terms when EQkey, our business or legal requirements change. We will update the Last updated date and provide additional notice when required. If you do not agree to updated Terms, stop using EQkey and cancel any active subscription.
